FoodOrderz Terms & Conditions

1. Agreement

By accessing or using the Service, you agree to be bound by these Terms & Conditions.

If you do not agree to these Terms, you may not use the Service.

These Terms apply to customers, Vendors, pilot participants, website visitors, and any other users of the Service.

2. FoodOrderz and Participating Vendors

FoodOrderz provides a technology platform that allows customers to place orders with participating Vendors.

FoodOrderz is not a restaurant, food truck, caterer, food manufacturer, or food service provider.

Each Vendor is independently responsible for:

• Menu content
• Product availability
• Pricing
• Taxes
• Food preparation
• Food safety
• Allergen disclosures
• Regulatory compliance
• Order fulfillment
• Pickup procedures
• Customer service related to the food or products provided

Vendor availability, menus, pricing, operating hours, locations, and fulfillment times may change without notice.

3. Orders, Pricing, and Payments

Order Accuracy

Customers are responsible for reviewing orders before submission.

Once an order has been submitted, Vendors may be unable to modify or cancel it.

Pricing

Prices, fees, taxes, and service charges displayed at checkout apply to the order at the time it is placed.

Menu prices and availability are controlled by each Vendor.

Payment Processing

Payments may be processed through third-party payment providers.

By placing an order, you authorize payment for all charges associated with your order.

FoodOrderz does not store full payment card numbers on its systems.

4. Cancellations, Refunds, and Order Issues

Because many orders involve food prepared specifically for a customer, cancellations and refunds may be limited.

Refunds, credits, and order adjustments may depend on:

• Vendor policies
• Food preparation status
• Pickup status
• Payment processor requirements
• Applicable laws

FoodOrderz may assist in resolving disputes but does not guarantee refunds.

Customers should contact support as soon as possible regarding order issues.

5. Vendor Accounts and Pilot Participation

Vendors participating in FoodOrderz may be asked to provide business information, payment onboarding information, and operational details.

Participation in the FoodOrderz pilot does not create any guarantee of future platform features, functionality, availability, or business outcomes.

FoodOrderz reserves the right to approve, suspend, restrict, or terminate vendor access when necessary to protect customers, Vendors, or the platform.

6. Acceptable Use

You agree not to:

• Use the Service for unlawful, fraudulent, harmful, or abusive purposes.
• Attempt unauthorized access to accounts, systems, or data.
• Interfere with platform security or functionality.
• Conduct security testing without prior written authorization.
• Scrape, harvest, copy, or extract platform data in bulk.
• Reverse engineer, modify, or create derivative works from the Service except as permitted by law.
• Use the Service in a way that disrupts Vendors, customers, or platform operations.

7. SMS Program Terms

FoodOrderz Order Notifications

FoodOrderz may send transactional SMS messages related to order activity, including:

• Order confirmations
• Order status updates
• Pickup-ready notifications
• Service-related communications

Messages may include the Vendor name associated with the order.

Opt-In

You opt in by providing your mobile number and affirmatively consenting during checkout or another applicable interaction.

Message Frequency

Message frequency varies based on order activity.

Message and Data Rates

Message and data rates may apply depending on your mobile carrier.

Opt-Out

Reply STOP at any time to unsubscribe.

Important

If you opt out of SMS communications, you may not receive text-based order updates.

8. Third-Party Services

FoodOrderz relies on third-party providers to operate portions of the platform, including:

• Payment processing
• SMS delivery

• Security services
• Analytics services

Availability and functionality of certain features may depend on these providers.

FoodOrderz is not responsible for outages, delays, or service interruptions caused by third-party providers.

9. Links and Third-Party Content

The Service and SMS messages may contain links to websites, vendor pages, social media pages, maps, or other third-party resources.

FoodOrderz is not responsible for the content, availability, security, or practices of third-party websites or services.

Users access third-party resources at their own risk.

10. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, FoodOrderz disclaims all warranties, express or implied, including warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Availability
• Accuracy
• Reliability

FoodOrderz does not guarantee uninterrupted operation, error-free functionality, or continuous availability.

11. Food and Vendor Responsibility Disclaimer

FoodOrderz does not prepare, handle, inspect, store, package, or deliver food.

Vendors are solely responsible for:

• Food quality
• Ingredient accuracy
• Allergen disclosures
• Food safety
• Regulatory compliance
• Product preparation
• Order fulfillment

Customers should contact the Vendor directly regarding food-specific concerns whenever appropriate.

12. Limitation of Liability

To the maximum extent permitted by law, FoodOrderz and its owners, employees, affiliates, contractors, and service providers shall not be liable for:

• Indirect damages
• Incidental damages
• Special damages
• Consequential damages
• Punitive damages
• Lost profits
• Lost revenue
• Lost business opportunities
• Loss of data

arising out of or relating to the use of the Service.

If liability is imposed despite the limitations above, FoodOrderz's total liability shall not exceed the amount paid by the user to FoodOrderz in connection with the applicable transaction.

13. Changes to the Service or Terms

FoodOrderz may modify, suspend, discontinue, or update any part of the Service at any time.

We may also update these Terms from time to time.

When changes are made, the Effective Date at the top of this page will be updated.

Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Illinois, without regard to conflict of law principles.
